IRS USES FROM 8023 TO DETERMINE IF THE SELLING CORPORATION REPORTS THE SALE OF ITS ASSETS ON ITS INCOME TAX RETURN AND TO DETERMINE IF THE PURCHASING CORPORATIO HAS PROPERLY MADE THE ELECTION.
